The Man Who Saves CEOs Billions in Taxes

InfoGraphic IRS -Tax TimeGetty Images If populist propaganda is to be believed, the true power brokers in this country reside not in Congress or the White House, but in the executive suites of America's largest corporations. CEOs are currently seen as the modern-day equivalent of "The Great Oz," pulling the levers and turning the dials that drive policy, law and the economy, all while shielded from view -- the oak walls of the boardroom their green curtain. Their power in the mortal world seems endless; however, with the exception of Walt Disney, they haven't yet figured out how to cheat death. But thanks to one man, Richard B. Covey, they're now able to avoid that previously unavoidable consequence of death: the estate tax. The concept of an estate tax, or death tax, can be traced to Egypt as early as 700 B.C., and was used by Caesar Augustus nearly 2,000 years ago to finance the Roman Empire's imperialist policies. The precursor to the estate tax arrived in the United States in the form of the Stamp Tax of 1797, which required federal stamps on wills offered for probate. Not unlike the Roman tax, this tariff was used to raise revenue in order to underwrite naval expansion and engage in the Pirate Wars with France. For the next 120 years, estate taxes were approved and repealed in lockstep with periods of war and peace until the the Revenue Tax of 1916, which created a transfer tax on wealth from an estate to its beneficiaries, ushered in the era of the modern estate tax. Assuming you're still awake, you'll be glad to know that reading this last paragraph counts as one college credit toward a degree in finance. Despite the relatively modest 10 percent top rate of the inaugural estate tax, newly wealthy industrialists, undoubtedly sporting stovepipe hats, soon figured out that they could avoid the tax altogether by transferring their wealth to their heirs during their lifetimes. In response, Congress began a long campaign aimed at closing inheritance loopholes and, in the process, raised the top rate to 77 percent, where it remained until 1977 when it began a gradual decline, leveling off to 55 percent during most of the 1980s and 1990s. And this is where Covey enters the picture, creating a tax-avoidance strategy in 1984 that began his assault on the estate tax code. Covey, an attorney with New York powerhouse law-firm Carter, Ledyard & Milburn, created a revolutionary type of tax shelter he called a "grantor retained income trust," or GRIT. A GRIT was created when an individual put investments into a trust, and then the income generated by those investments was used to pay back the individual, thus lowering his gift-tax bill. Congress deemed GRITs abusive and replaced them in 1990 with GRATs, or grantor retained annuity trusts. Though usually known for their efficient, thoughtful, and well-reasoned legislation, in establishing the GRAT, Congress actually created a larger loophole in the tax code, which Covey exploited with great success. However, it was a tax-avoidance strategy that he employed with a client in 1993 that, to this day, is still spoken of in hushed tones and with high reverence wherever tax advisers gather. Covey's client was the son of a wealthy industrialist who had died and left half his fortune -- in the form of his family owned company's stock -- to his wife; and half to a trust, the beneficiaries of which were his children.The problem was that both the value of the stock left to his widow -- and the stock in the trust -- would be taxed at the then 55 percent estate-tax rate, necessitating the sale of significant amounts of the stock in order to pay the tax bill, causing the family to lose control of their company. But Covey, a graduate of Harvard and Columbia Law School and a former Marine, was not about to give in so easily. Instead, he proposed that the widow purchase from her children their right to inherit the trust, in essence handing over her share of the inherited stock as payment for the future rights to her children's stock. Though not a tax-free transaction -- both the widow and her children would be subject to the standard 28 percent capital gains tax, and still subject to challenge from the IRS -- Covey's client elected to go forward with the plan. The IRS did ultimately challenge the move, but ended up settling for an amount that Covey anticipated would save his client millions. According to a recent report by Bloomberg, SEC filings show that since then, hundreds of executives have used the techniques pioneered by Covey, including Las Vegas Sands (LVS) CEO Sheldon Adelson, Facebook's (FB) Mark Zuckerberg, Goldman Sachs (GS) CEO Lloyd Blankfein, as well as heirs of the Walmart (WMT) fortune. According to that same report, Covey himself estimates that his tax shelters have cost the IRS more than $100 billion in lost revenue since 2000. I recently spoke by phone with Covey, who at 84 and semi-retired, still serves as senior counsel for Carter, Ledyard & Milburn. He speaks in a convivial manner, and it's immediately obvious that his mind is still sharp as a tack. I asked him what his personal feelings were about the estate tax, and though I expected a hard-line, somewhat dogmatic reply; with a chuckle in his voice that suggested the answer was common sense, he simply said, "There's got to be a better way to extract wealth from a society."

Elite athletes, from the time their special abilities become apparent, are lionized. As they move from high school to college, the benefits grow.

And if they hit it big in the professional ranks, the money can be almost too much to comprehend. A sense of entitlement can set in for some. Sometimes (like Denny McLain or Mike Tyson) the money is frittered away on material goods, bad investments or even on creating charitable foundations that don’t work out as they were intended. From the WNBA to the NFL, players often have trouble dealing with riches.

Then there are the average athletes. Sure, they make a lot more money than their peers at the same age, but their careers end all too soon and the money is turned off.

And after their athletic careers are over, there are years to wait before retirement benefits kick in. That got ThinkAdvisor to wondering just what sort of retirement plans are in place for the various U.S. professional sports leagues.

7. PGA Tour

Plan Type: Incentive based

Professional golf is an individual sport and that doesn’t change when it comes to a retirement plan. Money is deposited in retirement accounts based on how well golfers do in tournaments. For those who play fewer than 15 events a year, money can be withdrawn beginning at age 50. Those who play 15 or more events on the Champions Tour must wait until they are 60.

6. Major League Soccer

Plan Type: 401(k)

The plan, which is voluntary on the part of athletes, includes player contributions up to the IRS limit of $17,000 per year. Team contributions are capped by law at $50,000 per year and equal 3.5%. Salaries range from about $35,000 to more than $4 million.

5. WNBA

Plan Type: 401(k)

The league, established 15 years ago, offers a defined contribution retirement plan. Players are allowed to defer the maximum amount of salary allowed by the IRS. In addition, employers contribute up to 25% of the amount of employee deferrals. Other team contributions include: 2% of base salary for a player with two years of experience; 3% for those with three years; and 4% for those with four years or more. Minimum salaries rise from $37,950 for players in the league two years to a maximum of $107,000.

4. NHL

Plan Type: Pension

Skating in one game earns a player enrollment in the hockey league’s retirement plan, which switched from pension to defined contribution in 1986. Full retirement benefits can be drawn at age 45, and eligibility for reduced payments starts at 10 years earlier. Taking the ice in fewer than 400 games earns $7,760 in contributions per year. Playing more than 400 games earns $11,640 in team contributions.

3. NFL

Plan Type: Pension, 401(k), Annuity

Players are vested after three seasons in the NFL. Pension benefits are calculated using credits earned for each season played. If a player has five years of service time, his annual pension at age 55 would be $28,200. The 401(k) plan boasts a team match that is twice the player contributions once they have two years of credited time. The maximum team contribution will rise from $24,000 to $28,000 over the next seven years. Players who last four seasons or more are also eligible for an annuity.

Plan Type: Pension, 401(k)

The NBA has enjoyed three decades as one of the nation’s three most popular sports leagues. TV money has flowed and retirement benefits reflect that. Earning full vesting rights after three years of service in the league, players can begin drawing their pension at age 50. The annual benefit, for someone with the minimum service times, would be $19,160. With a decade of playing time, the payment rises to $60,000. But patience has its rewards. At age 62, those with three years in the league would get $60,000 and those with 10 years, $200,000. Players are also eligible to participate in a 401(k) plan, in which team contributions can be greater than player deferrals.

Players are fully vested after 10 seasons and at age 62 would receive annual payments of $200,000. Players with less playing time are entitled to smaller payments. Under the current collective bargaining agreement, owners make an annual contribution of $184.5 million to the pension fund.

Moreover, its worth mentioning that the goal of Cellular Dynamics International is�to become the industry standard for manufactured human cells and it bills itself as the pioneer of manufacturing stem cells in industrial quantities.

    One under-$10 wireless services player that looks poised for a big spike higher is KongZhong (KONG), which is a provider of WVAS and mobile games to mobile phone users and a wireless media company providing news, content, community and mobile advertising services through its wireless Internet sites in the PRC. This stock is off to a hot start in 2013, with shares up sharply by 53%.

    If you take a look at the chart for KongZhong, you'll notice that this stock has been downtrending badly for the last two months, with shares plunging lower from its high of $14.92 to its recent low of $7.78 a share. During that downtrend, shares of KONG have been consistently making lower highs and lower lows, which is bearish technical price action. That move has now pushed shares of KONG into oversold territory, since its current relative strength index reading is 30.21. Shares of KONG are now starting to spike higher off its recent low of $7.78 a share and off its 200-day moving average of $7.95 a share. This spike could be signaling that the downside volatility for KONG is over in the short-term and the stock is ready to trend higher.

    Traders should now look for long-biased trades in KONG if it manages to break out above some near-term overhead resistance at $8.50 a share with high volume. Look for a sustained move or close above that level with volume that hits near or above its three-month average action of 519,857 shares. If that breakout triggers soon, then KONG will set up to re-test or possibly take out its next major overhead resistance levels at $10 to its 50-day moving average at $11.33 a share.

    Traders can look to buy KONG off any weakness to anticipate that breakout and simply use a stop that sits right below some key near-term support at $7.78 a share. One can also buy KONG off strength once it takes out $8.50 a share with volume and then simply use a stop that sits a comfortable percentage from your entry point.

    The S&P 500 gained 0.5% to 1,872.34, while the Dow Jones Industrial Average rose 0.8% to 16.457.66. Those benchmarks were trumped by the Nasdaq Composite, which advanced 1% to 4,198.99, and the small-cap Russell 2000, which finished up 1.8% at 1,173.04.

    The price-weighted Dow was given a boost by its big weightings in Visa, which rose 1.8% to $215.86, International Business Machines, which advanced 1.1% to $192.49 after Morgan Stanley named it a top alpha generator among mega-cap stocks, and United Technologies, which gained 1.8% to $116.83. United Technologies’ Sikorsky division agreed to pay $3.5 million to settle claims that it charged too much for spare parts. Micron Technology gained 8% to $23.66 after a positive report at RBC Capital Markets and Drexel, and Vertex Pharmaceuticals (VRTX) rose 4.3% to $70.72.

    On 2014E EPS, Russell 2000 (R2000) PE is 23.6 and S&P 500 PE is 15.6. The relative forward PE of the R2000 vs. the S&P at 1.5x is amongst the highest since 1995. Within the S&P, the PE at non-mega caps is also demanding vs. history. The median trailing PE of S&P 500 stocks at 18.5x is 2 points higher than its average since 1983 and is well into the late 1990s range. EPS growth, while expected to accelerate, is unlikely to reach the mid to low teens pace of the last two cycles. Hence, we think small and non mega-cap stocks are more dependent on interest rates staying below historical norms to justify current valuations and are more susceptible to moderation in growth expectations.

    A day after reporting disappointing comparable sales, McDonald's� (NYSE: MCD  ) shares jumped today, gaining 3.8% after its CFO said the fast-food chain could take greater steps to return cash to shareholders. CFO Pete Bensen said the company was looking at ways to optimize its capital structure, which could include selling stores in Asia to franchisees or cutting SG&A costs, and taking on more debt to fund greater share buybacks. Over the last three years, the company has returned to $16.5 billion to shareholders through dividends and share repurchases, not bad for a stock with a market cap just under $100 billion. At a time when the Golden Arches' operations are struggling, perhaps a change in the capital structure is the best way to make sure this cash cow keeps delivering for investors.

Top Energy Companies To Buy Right Now

After trading quietly during the first hour of the day, the Dow Jones Industrials (DJINDICES: ^DJI  ) have fallen into the red, down 83 points, or 0.55%, as of 12:15 p.m. EDT. With investors anxiously awaiting news from the Federal Reserve next week, economic releases like this morning's Producer Price Index report take on added significance. Let's take a closer look at the PPI report and what it potentially means.

PPI rises
The Producer Price Index measures changes in prices that manufacturers initially receive for goods and services, typically from other businesses. That distinguishes it from the Consumer Price Index, which reflects retail cost inflation. Because retailers try to pass costs on to consumers as soon as possible, the PPI can provide hints on future trends for the CPI.

The headline number for PPI looked alarming, as a 0.5% increase in the index in May was well above the 0.1% to 0.2% rise economists were looking for. But beyond the headline number are some important details. In May, food and energy price increases were largely responsible for the PPI's gains; the core PPI rose just 0.1% for the month. Moreover, with the PPI having fallen sharply in each of the past two months, the year-over-year rise in the index is just 1.7%, suggesting inflation in check.

The crude and other feedstocks are transported, through pipes, to a tank! farm where they are stored until processing. In addition, there is a 17-bay, 50,000 thousand barrels per day capacity truck loading rack located adjacent to the refinery and a 23-mile interstate pipeline that are used to distribute clean products.

The Delaware City refinery has a throughput capacity of 190,000 thousand barrels per day and a Nelson Complexity Index of 11.3. The Delaware City refinery processes a range of medium to heavy, sour crude oils. The refinery has conversion capacity with its 82,000 thousand barrels per day fluid catalytic cracking (FCC) unit, 47,000 thousand barrels per day fluid coking unit (FCU) and 18,000 thousand barrels per day hydro cracking unit with vacuum distillation. Hydrogen is provided through the refinery's steam methane reformer and continuous catalytic reformer. The Delaware City refinery has total storage capacity of approximately 10 million barrels.

Paulsboro Refinery

Paulsboro has a throughput capacity of 180,000 thousand barrels per day and a Nelson Complexity Index of 13.2. The Paulsboro refinery is located on approximately 950 acres on the Delaware River in Paulsboro, New Jersey, just south of Philadelphia and approximately 30 miles away from Delaware City. Paulsboro receives crude and feedstocks through its marine terminal on the Delaware River. Paulsboro is one of two operating refineries on the East Coast with coking capacity, the other being Delaware City. Units at the Paulsboro refinery include crude distillation units, vacuum distillation units, an FCC unit, a delayed coking unit, a lube oil processing unit and a propane de-asphalting unit. The Paulsboro refinery processes a range of medium and heavy, sour crude oils. The Paulsboro refinery produces gasoline, heating oil and jet fuel and also manufactures Group I base oils or lubricants. In addition to its finished clean products slate, Paulsboro produces asphalt and petroleum coke. In addition, separate from the Company's agreement with Statoil the Company ha! s a long-! term contract with Saudi Aramco. The Paulsboro refinery has total storage capacity of approximately 7.5 million barrels. Of the total, approximately 2.1 million barrels are dedicated to crude oil storage with the remaining 5.4 million barrels allocated to finished products, intermediates and other products.

Toledo Refinery

Toledo has a throughput capacity of approximately 170,000 thousand barrels per day and a Nelson Complexity Index of 9.2. Toledo processes a slate of light, sweet crudes from Canada, the Midcontinent, the Bakken region and the United States Gulf Coast. Toledo produces a high percentage of finished products, including gasoline and ULSD, in addition to a range of petrochemicals, including nonene, xylene, tetramer and toluene. The Toledo refinery is located on a 282-acre site near Toledo, Ohio, approximately 60 miles from Detroit. Units at the Toledo refinery include an FCC unit, a hydrocracker, an alkylation unit and a UDEX unit. Crude is delivered to the Toledo refinery through three primary pipelines: Enbridge from the north, Capline from the south and Mid-Valley from the south. Crude is also delivered to a nearby terminal by rail and from local sources by truck to a truck unloading facility within the refinery.

Toledo is connected through pipelines, to a distribution network throughout Ohio, Illinois, Indiana, Kentucky, Michigan, Pennsylvania and West Virginia. The finished products are transported on pipelines owned by Sunoco Logistics Partners L.P. and Buckeye Partners.

    CIT Group Inc. (NYSE: CIT) has been consistently striving to expand its market share.     CIT Group (CIT) has been stuck in a trading range since the start of July, churning sideways at the same time that the S&P was broadly pushing higher. But with shares testing a key resistance level this week, CIT could be about to make a big directional move again.

    The sideways churn in CIT is caused by a rectangle pattern, a consolidation setup that's formed by a horizontal resistance level above shares at $51 and horizontal support at $47. The rectangle gets its name because it basically "boxes in" shares of a stock -- the break outside of the box is the trade to take. So, if LKQ pushes above $51, then it's time to buy. Upside looks like the more likely outcome from here; since CIT's price action leading up to the rectangle in early 2013 was bullish, it's more likely to break out from the setup to the upside.

    Kraft is committing a cardinal sin when it comes to relative strength. With a market that's correcting in December, relative strength is the single most important technical indicator to use with price -- and KRFT's RS line turned bullish months ago with no signs of strength.

    This food stock is lagging the market big time, and not just because of a shape on a chart.

    Whenever you're looking at any technical price pattern, it's critica! l to thin! k in terms of buyers and sellers. Triangles and the other setups we've looked at are a good quick way to explain what's going on in a stock, but they're not the reason it's tradable. Instead, it all comes down to supply and demand for shares.

    That support level at $52 is a price where there had been an excess of demand of shares; in other words, it's a place where buyers were more eager to step in and buy shares at a lower price than sellers were to sell. That's what makes a breakdown below $52 so significant -- the move would indicate that sellers are finally strong enough to absorb all of the excess demand above that price level. Hey Occupy Wall Street, abolish my debt too!

charlene ingram Charlene Ingram, a single mother of four, has $125,000 in student loan debt. NEW YORK (CNNMoney) Occupy Wall Street has been on a debt-abolishing tear lately -- recently buying nearly $4 million in student loans from debt collectors and then forgiving it.

Now thousands of people across the country are begging them to forgive their loans, too.

Charlene Ingram is one of them.

A single mother of four from St. Louis, Ingram is 41 and has $125,000 in student loan debt.

After struggling for years to find a job that paid more than minimum wage, she enrolled in an undergraduate program at age 37 -- figuring a bachelor's degree would be her only shot at earning enough to support her family. While she was in school, she and her sons delivered phone books in order to put food on the table.

Upon graduating in 2011, she found a job as a full-time medical assistant. But the job only pays $14 an hour. It's hardly enough to keep up with the basics -- $800 per month in rent, food for her and the kids, utilities, car payments, and medical insurance (which isn't provided through her job) -- let alone the nearly $1,700 a month she owes on her student loans. She said she applied for food stamps but earns $2 an hour too much.

Every time she applies for a higher-paying job, Ingram says she gets turned down because she doesn't have a Master's degree. So she enrolled in a Master's program in health care management in 2012, juggling classes at night and on the weekends. But now she has so much outstanding debt that she hasn't been able to qualify for additional loans and complete the program.

"How do they expect us to survive when you spend all that money for school and still can't get the job that you went to school for and took thousands of dollars in loans?" she said.

Ingram was one of many readers who wrote to CNNMoney seeking Occupy's help with paying back their loans. "Trying to [pay for a] home, food and clothing for us is very hard as a single parent," she wrote. "Please help."

Another reader, Martha Sopher, hasn't been able to work since becoming severely disabled from a car accident three years ago. When she turned 62 last year she immediately applied for Social Security. But because she had defaulted on the more than $200,000 in student loan debt from a graduate program she atten! ded 10 years ago, 15% of her Social Security payments are being garnished each month.

She is still in the process of applying for disability, and her family is helping her pay her living expenses in the meantime.

Upon hearing that Occupy Wall Street has been forgiving peoples' debt, she wrote: "I have hope for the first time in a very long time."

But unfortunately, Occupy Wall Street's Strike Debt division -- which is in charge of this initiative -- is unable to abolish a specific person's debt.

Strike Debt says it has received thousands of similar messages from debtors with heartbreaking situations. But the debt purchasing process is random, so while the group can tell a debt collector or broker that it wants to purchase debts from a certain college, it can't find out whose debt it is buying prior to the purchase.

Instead, the group is encouraging people to sign up for its new Debt Collective, which aims to unite medical and student loan debtors so that they can renegotiate debts together and make change on a larger scale.

For debtors in need of more immediate help, nonprofits like the National Consumer Law Center offer resources on their websites about how to attain debt relief or set up payment plans.

And while it's much easier to get relief for federal loans than i! t is for ! private loans, the first step in either case is to let the lender know the details of your situation.

"Struggling borrowers need to let their loan holder or servicer know they're having difficulty, rather than just struggle in silence and give up on payment altogether," said Allesandra Lanza, a director at nonprofit American Student Assistance.

The Company also accesses the Eagle Ford Shale in southern Texas; wellhead supplies in northern and southern Louisiana and Mississippi; and Canadian natural gas through an unaffil! iated pip! eline interconnect at Whitesville, Kentucky.

Gulf Crossing

The Company�� Gulf Crossing pipeline system originates near Sherman, Texas, and proceeds to the Perryville, Louisiana area. The market areas are in the Midwest, Northeast, Southeast and Florida through interconnections with Gulf South, Texas Gas and unaffiliated pipelines.

Gulf South

The Company�� Gulf South pipeline system is located along the Gulf Coast in the states of Texas, Louisiana, Mississippi, Alabama and Florida. The on-system markets directly served by the Gulf South system are generally located in eastern Texas, Louisiana, southern Mississippi, southern Alabama, and the Florida Panhandle. These markets include LDCs and municipalities located across the system, including New Orleans, Louisiana; Jackson, Mississippi; Mobile, Alabama; and Pensacola, Florida, and other end-users located across the system, including the Baton Rouge to New Orleans industrial corridor and Lake Charles, Louisiana. Gulf South also has indirect access to off-system markets through numerous interconnections with unaffiliated interstate and intrastate pipelines and storage facilities. These pipeline interconnections provide access to markets throughout the northeastern and southeastern United States.

Gulf South has two natural gas storage facilities. The gas storage facility located in Bistineau, Louisiana, has approximately 78 billion cubic feet of working gas storage capacity from which Gulf South offers firm and interruptible storage service, including no-notice service. Gulf South�� Jackson, Mississippi, gas storage facility has approximately five billion cubic feet of working gas storage capacity, which is used for operational purposes and is not offered for sale to the market.

Texas Gas

The Company�� Texas Gas pipeline system originates in Louisiana, East Texas and Arkansas and runs north and east through Louisiana, Arkansas, Mississippi, Tennessee, K! entucky, ! Indiana, and into Ohio, with smaller diameter lines extending into Illinois. Texas Gas directly serves LDCs, municipalities and power generators in its market area, which encompasses eight states in the South and Midwest and includes the Memphis, Tennessee; Louisville, Kentucky; Cincinnati and Dayton, Ohio, and Evansville and Indianapolis, Indiana metropolitan areas. Texas Gas also has indirect market access to the Northeast through interconnections with unaffiliated pipelines. Texas Gas owns nine natural gas storage fields, of which it owns the majority of the working and base gas. Texas Gas uses this gas to meet the operational requirements of its transportation and storage customers and the requirements of its no-notice service customers.

Field Services

In 2011, the Company formed its Field Services subsidiary and transferred to it approximately 100 miles of gathering and transmission pipeline. In 2012, the Company transferred to Field Services an additional 240 miles of pipeline and two compressor stations. Field Services is developing gathering and processing capabilities in south Texas and Pennsylvania.

    The big news in the master limited partnership (MLP) world last week was the announcement by Boardwalk Pipeline Partners LP (NYSE: BWP) that it was cutting its quarterly distribution by 80%. The company�� market value was cut in half, and the price of Boardwalk�� common units fell from above $24 to below $13. For the rest of the week, investors have been trying to figure out which midstream company will be next or, alternatively, which companies offer the best chance of prospering.
